Xapitol Protocol: Terms of Service

These Terms govern your access to the Xapitol platform, interface, and smart contracts (the "Protocol") on web and mobile.
1. Acceptance of Terms & Eligibility
Binding Agreement: By accessing the Xapitol platform, interface, or smart contracts (the "Protocol"), you agree to be bound by these Terms.
Eligibility & Identity Verification: You must be at least 18 years old. Access to the Protocol requires successful completion of mandatory identity verification via XloudID (KYC/KYB and AML compliance). Xapitol reserves the right to deny access to any user or entity that fails to meet compliance standards or resides in restricted jurisdictions (e.g., sanctioned countries).
2. Nature of the Protocol (Non-Custodial & Informational)
Software Interface Only: Xapitol provides a web and mobile interface for acquiring and trading Membership Keys denominated in USD via Stripe. Xapitol is not a broker, dealer, exchange, investment adviser, or custodian.
Account Architecture: Key balances are tracked in your Xapitol profile vault. Settlements occur through Stripe payment rails; Xapitol does not take discretionary custody of user bank accounts.
No Fiduciary Duty: Xapitol owes no fiduciary duties or liabilities to users regarding the value, utility, or outcome of any Membership Keys acquired.
3. Membership Keys & Utility Acknowledgment
Strictly Utility: Membership Keys ("Keys") are digital access passes designed exclusively for consumptive use, governance, and ecosystem participation. They are not securities, equity, shares, bonds, or investment contracts.
No Expectation of Profit: Users acknowledge that Keys are acquired solely for their utility (e.g., accessing the verified Pulse feed, dynamic pricing discounts, and protocol governance). Xapitol explicitly disclaims any promise or expectation of financial return, profit, or passive income.
Automated Liquidity: The acquisition and relinquishment of Keys are governed by algorithmic bonding curves and a continuous liquidity floor. Xapitol does not guarantee the availability of secondary markets outside of the automated protocol.
4. Founder & Startup Obligations
Accurate Representation: Verified Startups launching on Xapitol must provide accurate business information, maintain their Pulse feed, and honor the utility tied to their Keys (e.g., dynamic pricing, access).
Operational Fuel: Funds routed to the Founder via the 40% operational split must be used strictly for the development, marketing, and operation of the Verified Startup.
5. Assumption of Risk
Payment & Settlement Risk: Users accept risks associated with USD payment processing, including payment failures, chargebacks, and temporary settlement delays. Completed Key trades are final subject to applicable payment-network dispute rules.
Volatility: The mathematical valuation of Keys on the bonding curve is subject to extreme volatility based on network demand.
6. Prohibited Activities
Users may not: bypass or spoof XloudID verification; engage in wash trading, market manipulation, or algorithmic exploitation of the bonding curve; or use the Protocol to fund illegal activities, terrorism, or money laundering.
7. Limitation of Liability & Indemnification
"As Is" Basis: The Protocol is provided "as is" and "as available" without warranties of any kind.
Indemnity: Users agree to indemnify and hold harmless X-10, its founders, and affiliates from any claims, damages, or losses arising from their use of the Protocol or acquisition of Keys.
8. Governing Law & Dispute Resolution
Arbitration: Any disputes arising out of these Terms shall be resolved exclusively through binding arbitration in Hampton, Virginia, waiving the right to a class-action lawsuit or jury trial.
